Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and Structura ("Structura", "the Service", "we", "us", "our"), an academic performance platform operated by its founding team based in Canada. By creating an account, accessing, or using any part of the Service — including the website, application programming interfaces, AI-powered features, and any related services — you acknowledge that you have read, understood, and agree to be bound by these Terms in full, together with our Privacy Policy, which is incorporated herein by reference.

If you do not agree with any provision of these Terms, you must immediately discontinue all use of the Service. Your continued use of Structura following the posting of any amendments to these Terms constitutes your acceptance of those amendments.

2. Eligibility and Age Requirements

You must be at least 13 years of age to create an account or use the Service. By registering, you represent and warrant that you meet this minimum age requirement.

If you are between the ages of 13 and 18 (or the age of majority in your jurisdiction), you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf and consents to your use of the Service. We reserve the right to request proof of parental or guardian consent at any time and to suspend or terminate accounts where such consent cannot be verified.

We do not knowingly collect personal information from children under 13 years of age. If we become aware that a User is under 13, we will promptly terminate their account and take reasonable steps to delete all associated personal data. If you believe a child under 13 has created an account, please contact us immediately at structuraengine@gmail.com.

3. Description of Service

Structura is an academic performance engine designed to help students diagnose workload imbalances, optimize study habits, and improve academic outcomes. The Service provides the following core capabilities:

  • Performance Assessment — a 25-question diagnostic that evaluates five academic dimensions (Workload Density, Recovery, Efficiency, Compression, and Stability) and produces a composite score from 0 to 100.
  • AI Optimization Plans — personalized, AI-generated study strategies and weekly plans based on your assessment results.
  • AI Chat — follow-up conversational guidance to refine and act on your optimization plan.
  • Focus Timer — a Pomodoro-style timer with session tagging for structured study blocks.
  • Deadline Tracker & Calendar — tools for managing upcoming assignments, exams, and commitments.
  • Grade Calculator — utilities for computing weighted course grades and projecting outcomes.
  • Leaderboard — a community ranking system based on streaks, study hours, and weekly sessions.
  • Study Groups — collaborative spaces where students can form groups, compare anonymized scores, and hold each other accountable.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. User Accounts

To access the Service, you must create an account using valid credentials. You agree to provide accurate, current, and complete registration information and to update such information as necessary to keep it accurate.

You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You must not share, sell, transfer, or otherwise make your login credentials available to any other person. If you become aware of any unauthorized use of your account, you must notify us immediately at structuraengine@gmail.com.

We reserve the right to suspend or permanently terminate any account that (a) violates these Terms, (b) is reasonably believed to be fraudulent, abusive, or compromised, (c) has remained inactive for an extended period, or (d) is associated with conduct that is harmful to other Users or the integrity of the Service.

5. Free and Paid Features

Structura operates on a freemium model. The Free tier provides access to all core tools — including the performance assessment, focus timer, deadline tracker, grade calculator, calendar, leaderboard, and study groups — along with a limited number of AI generations per day (currently three).

The Pro subscription unlocks premium capabilities including the Simulator, Trends Analytics, Subject Folders, and an increased daily AI generation limit (currently fifty). Pro subscriptions are processed through Stripe, our third-party payment processor. By subscribing, you also agree to Stripe's Terms of Service.

Subscription fees are billed in advance on a recurring basis (monthly or as otherwise indicated at the time of purchase). All fees are stated in the currency displayed at checkout and are non-refundable except as expressly set out in Section 12 (Refund and Cancellation Policy) or as required by applicable law.

We reserve the right to adjust pricing at any time. We will provide at least 14 days' notice before any price increase takes effect for existing subscribers. Continued use of paid features after the effective date of a price change constitutes acceptance of the new pricing.

6. AI-Generated Content Disclaimer

Certain features of Structura — including optimization plans, study strategies, weekly schedules, projected improvement estimates, and chat responses — are generated automatically using third-party artificial intelligence models (currently powered by OpenAI). This AI-generated content is provided for informational and educational purposes only.

AI-generated content does not constitute professional academic advising, psychological counseling, medical advice, or any other form of professional guidance. You should not rely on AI-generated suggestions as a substitute for your own judgment, the advice of qualified professionals, or the policies and requirements of your educational institution.

Structura makes no representations or warranties regarding the accuracy, completeness, reliability, currentness, or suitability of any AI-generated content. AI models may produce responses that are incorrect, incomplete, outdated, or inappropriate for your specific circumstances. Projected improvement scores are estimates only and should not be interpreted as guaranteed outcomes.

You acknowledge and agree that you are solely responsible for evaluating, verifying, and acting upon any AI-generated content, and that Structura shall bear no liability for decisions you make based on such content.

7. Acceptable Use

You agree that you will not, and will not permit any third party to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose;
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying data models of any part of the Service;
  • Scrape, crawl, or use automated bots, scripts, or other programmatic means to access, extract data from, or interact with the Service without our prior written consent;
  • Share, sell, sublicense, rent, or transfer your account or credentials to any other person or entity;
  • Submit false, misleading, defamatory, or deliberately inaccurate information;
  • Interfere with or disrupt the Service's infrastructure, security mechanisms, or any other User's access to or enjoyment of the Service;
  • Use the Service to harass, threaten, bully, stalk, or otherwise harm other Users;
  • Attempt to gain unauthorized access to any systems, networks, servers, or data associated with the Service;
  • Exploit the AI features to generate content unrelated to academic performance or in volumes designed to circumvent usage limits;
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service;
  • Transmit any viruses, malware, worms, or other malicious or destructive code through the Service;
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.

We reserve the right to investigate and take appropriate action — including account suspension, termination, and referral to law enforcement — against anyone who, in our sole discretion, violates this Section.

8. Recordings and Copyright Policy

Structura is designed to support your own independent academic workflow. The Service is not intended to host, store, or distribute copyrighted educational materials belonging to third parties, including but not limited to:

  • Lecture recordings, slides, or notes produced by instructors or educational institutions;
  • Textbook excerpts, problem sets, answer keys, or exam questions;
  • Course materials distributed under institutional licenses or access-controlled platforms;
  • Any content protected by copyright, trademark, or other intellectual property rights that you do not own or have explicit permission to use.

You represent and warrant that any content you submit to or through the Service — including text entered into AI chat, assessment responses, and study group messages — is either your own original work or material you have the lawful right to use.

Structura respects the intellectual property rights of others and complies with applicable copyright laws, including the Canadian Copyright Act. If you believe that content available through the Service infringes your copyright, please send a written notice to structuraengine@gmail.com including: (a) a description of the copyrighted work you claim has been infringed, (b) the specific location of the allegedly infringing material within the Service, (c) your contact information, and (d) a statement that you have a good-faith belief that the use is unauthorized.

We will review all valid notices and take appropriate action, which may include removing the infringing content and terminating repeat infringers' accounts.

9. Intellectual Property

All content, software, code, design elements, visual interfaces, graphics, branding, logos, trademarks, service marks, and other materials comprising the Service (collectively, "Structura IP") are the exclusive property of Structura and its licensors and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial academic purposes in accordance with these Terms. This license does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or commercially exploit any Structura IP without our prior written consent.

You retain ownership of the original content you submit to the Service (such as your assessment responses and study notes). By submitting content, you grant Structura a worldwide, non-exclusive, royalty-free license to use, process, and display that content solely for the purpose of operating and improving the Service.

10. Academic Honor Code

Structura is built to help students develop stronger study habits and manage their academic workload more effectively. The Service is designed to complement — never replace or undermine — the academic integrity policies of your educational institution.

By using the Service, you agree to the following honor principles:

  • Honest Representation — You will answer assessment questions truthfully and to the best of your ability. Deliberately providing false data undermines the accuracy of your results and the value of the Service for everyone.
  • Personal Use Only — AI-generated optimization plans and study strategies are personalized to your profile. You will not submit AI-generated content as your own academic work (essays, assignments, exam answers, etc.) unless expressly permitted by your institution.
  • No Academic Dishonesty — You will not use Structura to facilitate cheating, plagiarism, contract cheating, unauthorized collaboration on graded work, or any other violation of your institution's academic integrity policies.
  • Respectful Collaboration — When participating in Study Groups, you will engage constructively, respect other members' privacy, and refrain from sharing confidential academic materials or exam content.
  • Leaderboard Integrity — You will not manipulate streaks, study session logs, or other metrics to inflate your leaderboard ranking artificially.

Violations of this Honor Code may result in warnings, temporary suspension, permanent account termination, or reporting to your educational institution at our discretion.

11. User Data and Privacy

Your privacy matters to us. Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy. By using the Service, you consent to the data practices described therein.

You acknowledge that certain data — including assessment responses and usage patterns — may be processed by third-party services (such as OpenAI for AI features and Stripe for payment processing) in accordance with their respective privacy policies. We take commercially reasonable steps to protect your data, but no method of electronic transmission or storage is 100% secure.

12. Refund and Cancellation Policy

You may cancel your Pro subscription at any time through your account settings. Upon cancellation:

  • Your Pro benefits will remain active until the end of your current paid billing period.
  • After the billing period ends, your account will revert to the Free tier. You will not lose any previously saved data, but access to Pro-exclusive features will be restricted.
  • No partial or prorated refunds will be issued for the unused portion of a billing period, except where required by applicable Canadian consumer protection laws.

If you believe you were charged in error, or if there are exceptional circumstances warranting a refund, please contact us at structuraengine@gmail.com within 14 days of the charge. We will review each request on a case-by-case basis and may issue a refund at our sole discretion.

Structura is not responsible for charges incurred due to failure to cancel before a renewal date. It is your responsibility to manage your subscription and billing preferences.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Structura does not warrant or represent that:

  • The Service will be uninterrupted, timely, secure, or error-free;
  • The results obtained from the Service (including AI-generated content, scores, and projected improvements) will be accurate, reliable, or meet your expectations;
  • Any defects in the Service will be corrected;
  • The Service will be free of viruses or other harmful components;
  • Use of the Service will result in improved academic performance or any specific outcome.

You acknowledge that you use the Service at your own risk and that the entire risk as to satisfactory quality, performance, accuracy, and effort rests with you. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRUCTURA, ITS FOUNDERS, OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to use the Service;
  • Any conduct or content of any third party on the Service;
  • Any AI-generated content, recommendations, or projected outcomes;
  • Unauthorized access to, alteration of, or loss of your data or transmissions;
  • Any academic consequences, grade impacts, or institutional actions arising from your use of the Service;
  • Any other matter relating to the Service.

STRUCTURA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO STRUCTURA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY CANADIAN DOLLARS (CAD $50). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF STRUCTURA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

You agree to indemnify, defend, and hold harmless Structura and its founders, officers, employees, agents, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any content you submit to or through the Service; or (e) any claim that your use of the Service caused damage to a third party. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

16. Dispute Resolution

Governing Law. These Terms and any dispute arising from or relating to them or to the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Informal Resolution. Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at structuraengine@gmail.com. We will make a good-faith effort to resolve the matter within thirty (30) days of receiving your written notice.

Binding Arbitration. If a dispute cannot be resolved informally within 30 days, you agree that it shall be submitted to and finally resolved by binding arbitration administered in accordance with Canadian arbitration laws. The arbitration shall take place in Ontario, Canada, and the language of the arbitration shall be English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

17. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to situations where we reasonably believe you have violated these Terms. Upon termination:

  • Your right to access and use the Service ceases immediately;
  • We may delete your account data in accordance with our Privacy Policy and applicable data retention laws;
  • Any outstanding fees owed to Structura become immediately due and payable;
  • You remain bound by the provisions of these Terms that by their nature should survive termination, including Sections 6, 8, 9, 10, 13, 14, 15, and 16.

You may terminate your account at any time by contacting us at structuraengine@gmail.com or through your account settings. Termination of your account does not relieve you of any obligation to pay outstanding subscription fees.

18. Changes to These Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and provide notice through one or more of the following methods: (a) an email notification to the address associated with your account, (b) an in-app banner or notification, or (c) a prominent notice on our website.

We will provide at least fourteen (14) days' notice before material changes take effect. During the notice period, if you do not agree with the revised Terms, you must stop using the Service and, if applicable, cancel your subscription before the changes become effective.

Your continued use of the Service after the effective date of any changes constitutes your binding acceptance of the updated Terms.

19. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any other legal notices or policies published on the Service, constitute the entire agreement between you and Structura and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.

Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from the remaining Terms and shall not affect the validity and enforceability of the remaining provisions.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Structura.

Assignment. You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure. Structura shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, pandemics, or acts of war or terrorism.
